/me breaks out his skinning genious hat Skinning. All you need is a program that can edit jpegs or TGA visual files. To access the skin files themselves you will need a program that operates something like WinZip and can open .zip extensions. OR find a more specialized program made for opening .pk3 conatainer files. Get all these and your set! Personally, I use WinZip and Photoshop 7, but whateva works for you is fine.  Any other skinning questions then just ask me anytime. My e-mail is on my profile and I can promise you that I will respond in 24 hours or less.
